I don't say your friend isn't perfectly honest and trying to do the right thing, just that you have to be very careful, as things can go wrong even with the best of intentions.

And you have got to get a joint business account that you can keep an eye on.

I have left it very late in replying and saying a big thank you to all that replied, I have learnt a few things from your posts and decided not to go into business with my friend in the end. However and offer of employment is on the table, so thank you once again.
